Someone Down the Street is selling a 04 Honda TRX FE 5 speed For $3500. Is it a good deal or Not?

Not really, unless it's mint condition. Even then it's pretty steep.

If it's in good condition then I wouldn't pay more than $2500, unless like I said it was like show room condition, and then I might go full retail.

But it would be hard to find a machine like that, particularly with over 400 miles, unless it was 400 miles riding the grandkids around the back yard.
